Virani NP Services last updated the Terms of Use (User Agreement) (“Terms”) on March 20th, 2024. We post the current version of the Terms at www.viraninps.ca/terms. We reserve the right to amend the Terms at any time to account for changes in applicable law and regulations, our services, our practices, and/or the ViraniNPS Platform. Depending on the nature of the change, we will post the updated version of these Terms at www.viraninps.ca with the date these Terms were last revised and/or notify you by posting a notice of material amendments to these Terms as required by applicable law. Please check to see if we have amended these Terms since you last used the ViraniNPS Platform. We may but are not obligated to post notice of amendments. By using the ViraniNPS Platform or participating in any ViraniNPS Programs after the amendment of these Terms, you are agreeing to comply with and be bound by the amended Terms.

These Terms of Use and Patient Service Agreement (“Terms”) govern your access to and use of services offered by Virani NP Services Inc. (“VNPS,” “we,” “us,” or “our”), including our website, patient portal, virtual-care tools, forms, booking systems, communications, administrative services, and clinical services.
By accessing VNPS services, creating a patient account, booking an appointment, submitting forms, communicating with VNPS, or receiving care from a VNPS provider, you agree to these Terms and to our Privacy Policy.
If you do not agree, you should not use VNPS services.
About VNPS
VNPS is a virtual psychiatric and mental-health clinic providing services through regulated health professionals, including nurse practitioners and other authorized clinicians or therapists where applicable.
VNPS services may include psychiatric assessment, ADHD assessment and treatment, medication management, psychotherapy or counselling services where offered, lab or diagnostic requisitions, clinical documentation, referrals, care coordination, and related administrative support.
VNPS is not an emergency service, crisis service, walk-in clinic, hospital, or substitute for urgent medical care.
Medical Emergencies and Crisis Situations
Do not use VNPS, the patient portal, email, SMS, voicemail, or online booking for emergencies.
If you are experiencing a medical emergency, risk of serious harm, suicidal intent, homicidal intent, psychosis with safety risk, severe withdrawal, overdose, chest pain, difficulty breathing, loss of consciousness, stroke symptoms, or any other urgent condition, call 911 or go to the nearest emergency department.
If you are in Canada and experiencing suicidal thoughts or emotional crisis, you may call or text 9-8-8 for 24/7 crisis support. If immediate safety is at risk, call 911.
Coordinator access, extended administrative availability, or 7-day communication availability does not mean VNPS provides 24/7 clinical monitoring, emergency response, or crisis coverage.
Eligibility and Jurisdiction
To use VNPS services, you must provide accurate identity, contact, location, and health information.
You must be physically located in a province or territory where VNPS or the treating provider is authorized to provide the relevant service at the time care is delivered. You may be asked to confirm your location before or during an appointment.
You must be legally capable of consenting to services, or have an authorized substitute decision-maker, parent, guardian, or legal representative where applicable. For minors or dependents, VNPS may assess consent, capacity, confidentiality, and access rights according to applicable law and professional standards.
VNPS may decline, limit, or discontinue services where the requested service is outside scope, clinically inappropriate, unsafe to deliver virtually, unavailable in your jurisdiction, or otherwise not suitable.
Nature and Limits of Virtual Care
VNPS provides care using virtual tools, which may include video, telephone, secure forms, patient portal messaging, email, SMS, e-fax, electronic medical records, electronic prescribing, and secure document transmission.
Virtual care has benefits and limitations. It may not allow the same assessment as an in-person visit. Technical issues, incomplete information, poor audio/video quality, privacy risks, or lack of physical examination may affect clinical care.
By using VNPS services, you consent to receiving care and communicating through virtual and electronic methods. You may withdraw consent, but doing so may affect VNPS’s ability to provide services.
VNPS or your provider may recommend in-person care, emergency care, primary care follow-up, specialist referral, collateral information, lab testing, diagnostic testing, or additional assessment before making clinical decisions.
Patient Responsibilities
You agree to:
Provide complete, accurate, and current information; disclose medications, allergies, medical conditions, psychiatric history, substance use, pregnancy status where relevant, prior diagnoses, prior treatment, and safety concerns; attend appointments from a private and safe location; provide your current physical location and emergency contact when requested; follow clinical instructions and safety recommendations; seek urgent or emergency care when advised; use the patient portal and communications appropriately; keep your login credentials confidential; and treat VNPS staff, providers, and coordinators respectfully.
You must not use VNPS services to obtain inappropriate prescriptions, duplicate prescriptions, false records, fraudulent documentation, or services for someone else without lawful authority.
VNPS may restrict access or discontinue non-urgent services for abusive conduct, threats, harassment, repeated no-shows, unpaid fees, misuse of services, unsafe care circumstances, or other serious breaches of these Terms, subject to applicable professional obligations.
Prescriptions and Medication Management
Prescriptions are never guaranteed. A VNPS provider may prescribe, decline to prescribe, change, taper, discontinue, or recommend alternatives based on clinical judgment, applicable law, professional standards, patient safety, and available information.
For medications including stimulants, benzodiazepines, sedative-hypnotics, antipsychotics, antidepressants, mood stabilizers, and other psychotropic medications, VNPS may require medical records, collateral information, pharmacy records, lab work, ECG, vitals, urine drug screening, in-person assessment, primary-care involvement, or specialist consultation.
Controlled substances are prescribed only when clinically appropriate, legally permitted, and within the provider’s authorization and scope. Ontario NPs must meet controlled-substance education requirements before prescribing controlled substances.
Prescriptions are for the named patient only. You must not share, sell, transfer, alter, or misuse prescribed medication.
For severe side effects, allergic reactions, overdose, withdrawal risk, new suicidal thoughts, chest pain, shortness of breath, fainting, mania, psychosis, or other urgent symptoms, seek urgent medical care immediately rather than waiting for a VNPS response.
Psychotherapy and Counselling Services
Where psychotherapy, counselling, or therapy-related services are offered, services may be provided virtually or by telephone where clinically appropriate.
You may be asked to confirm your identity, location, privacy, emergency contact, and backup communication plan. Sessions may not be recorded by you or VNPS unless all required consents are obtained in advance.
Electronic psychotherapy requires attention to consent, privacy, safety planning, backup plans, and suitability of the technology used.
Appointments, Fees, Payment, and Cancellations
VNPS will disclose applicable fees before services are provided. Fees are in Canadian dollars unless otherwise stated.
Fees may apply for assessments, follow-ups, therapy, forms, letters, missed appointments, late cancellations, administrative services, uninsured services, or other services as posted or communicated at booking.
Payment may be required before or at the time of booking. Advance fees must relate to services intended to be provided. Refunds, missed appointments, and cancellation fees are handled according to VNPS’s posted or communicated policy and applicable law.
CNO guidance permits nurses in independent practice to charge fees for services, but fees must not be excessive, clients must be informed of the cost before the service, and advance fees must relate to intended services rather than merely paying for availability.
VNPS does not guarantee insurance, health spending account, employer, disability, school, tax, or third-party reimbursement.
If your payment is declined, unpaid, reversed, or charged back, VNPS may suspend non-urgent administrative or clinical services until the issue is resolved, subject to professional obligations and patient safety.
Communications
VNPS may communicate with you by phone, voicemail, email, SMS, patient portal, secure forms, video platform, e-fax, or mail.
Electronic messages may be used for booking, reminders, forms, care coordination, documents, administrative updates, and other service-related purposes. Non-essential promotional or marketing communications will be handled according to applicable consent and unsubscribe requirements. CASL requires consent, sender identification, and an unsubscribe mechanism for commercial electronic messages.
VNPS does not guarantee immediate review of messages. Do not use email, SMS, voicemail, portal messages, or website forms for urgent matters.
You are responsible for ensuring your contact information is current and that you can receive VNPS communications.
Privacy, Records, and EHR Access
VNPS’s Privacy Policy forms part of these Terms.
VNPS collects, uses, discloses, retains, and protects personal information and personal health information according to applicable law, including PHIPA where applicable.
VNPS may access or use relevant health information from patient submissions, prior records, pharmacies, laboratories, hospitals, referral sources, provincial electronic health record systems, and other health-care sources where authorized and clinically appropriate.
Where VNPS is authorized to access ConnectingOntario or other provincial EHR systems, access is limited to permitted clinical and operational purposes related to patient care. EHR access may include lab results, diagnostic imaging reports, medication records, hospital records, emergency department visits, discharge summaries, consultation reports, and community-care documentation.
Patients may request access to or correction of their personal health information by contacting VNPS’s Privacy Officer.
Technology, AI, and Third-Party Service Providers
VNPS may use third-party service providers for electronic medical records, patient portal services, online booking, forms, video visits, e-fax, payment processing, secure communications, IT/security, document management, accounting, analytics, transcription, dictation, or administrative support.
VNPS may use secure automation, transcription, or AI-assisted administrative/documentation tools where appropriate safeguards are in place. Clinical decisions remain the responsibility of regulated health professionals. VNPS does not knowingly use identifiable personal health information to train public AI models.
Third-party pharmacies, laboratories, payment processors, insurers, websites, platforms, and other external services may have their own terms and privacy practices. VNPS is not responsible for third-party services that it does not own or control.
Patient Portal and Acceptable Use
You are responsible for keeping your account credentials secure. You must not share your username, password, portal access, forms, or documents with unauthorized persons.
You must not attempt to bypass security controls, access another person’s account, scrape or copy platform content, introduce malware, interfere with VNPS systems, impersonate another person, submit false information, or use VNPS systems for unlawful purposes.
VNPS may suspend portal access if it reasonably believes there is a security risk, misuse, fraud, unauthorized access, or breach of these Terms.
Clinical Documentation, Forms, and Letters
VNPS may provide letters, forms, notes, reports, or documentation only where clinically appropriate and supported by available information.
VNPS does not guarantee completion of disability forms, accommodation letters, school forms, legal forms, insurance forms, controlled-substance documentation, or other third-party documentation.
A provider may decline to complete documentation that is inaccurate, unsupported, outside scope, clinically inappropriate, or inconsistent with professional obligations.
Content on the VNPS Website
Website content is for general informational purposes only. It is not a diagnosis, treatment plan, medical advice, psychotherapy, or a substitute for assessment by a regulated health professional.
Do not rely on website content for emergencies, urgent decisions, medication changes, or self-treatment.
VNPS may update, remove, or revise website content at any time.
Intellectual Property
VNPS owns or licenses the website, branding, logos, forms, templates, text, graphics, workflows, and other non-patient content made available through VNPS services.
You may use VNPS materials only for your own personal, non-commercial use related to receiving services. You may not copy, modify, distribute, sell, publish, scrape, reverse engineer, or commercially exploit VNPS materials without written permission.
Your personal health information remains subject to applicable privacy and health-record laws.
Service Availability
VNPS does not guarantee uninterrupted access to its website, patient portal, booking system, video platform, email, SMS, e-fax, or other technology.
Services may be delayed, modified, suspended, or unavailable due to maintenance, technical issues, staffing, provider availability, jurisdictional restrictions, legal requirements, safety concerns, or other operational reasons.
Discontinuing or Declining Care
VNPS or a provider may decline or discontinue care where clinically, ethically, legally, or operationally appropriate, including where care is outside scope, unsafe, not suitable virtually, affected by conflict of interest, affected by abusive conduct, affected by non-payment for non-urgent services, or where a therapeutic relationship is no longer appropriate.
Where professional standards require notice, transition planning, referral information, or urgent-care direction, VNPS will act according to applicable standards and patient safety. CNO guidance confirms NPs must apply professional accountability when discontinuing or declining care.
Disclaimer
VNPS services are provided using reasonable professional and operational standards. However, VNPS does not guarantee any specific diagnosis, medication, prescription, outcome, timeline, approval, third-party reimbursement, or clinical result.
Technology tools are provided “as available.” VNPS does not guarantee that the website, portal, forms, video tools, or communication systems will be error-free, uninterrupted, or free from all security risks.
Nothing in these Terms limits professional obligations, privacy obligations, or liability that cannot be limited under applicable law.
Limitation of Liability
To the maximum extent permitted by law, VNPS is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the website, portal, booking tools, communications systems, or non-clinical content.
VNPS is not responsible for harm caused by inaccurate or incomplete information you provide, your failure to seek urgent or emergency care, your failure to follow clinical instructions, your misuse of medication, unauthorized account access caused by your failure to protect credentials, or third-party services outside VNPS’s control.
This section does not exclude liability for professional negligence, gross negligence, wilful misconduct, privacy breaches, or any liability that cannot legally be excluded.
Indemnity
You agree to indemnify VNPS, its directors, officers, employees, contractors, providers, agents, and affiliates from claims, losses, costs, damages, or expenses arising from your breach of these Terms, misuse of VNPS services, false or incomplete information, unlawful conduct, unauthorized use of another person’s information, or violation of third-party rights.
This does not limit any rights you may have under applicable health-care, privacy, consumer-protection, or professional-regulatory laws.
Changes to These Terms
VNPS may update these Terms from time to time to reflect changes in services, law, technology, privacy practices, or clinic operations.
The updated version will be posted on the VNPS website with the updated date. Continued use of VNPS services after updates means you accept the revised Terms, unless applicable law requires a different process.
Governing Law
These Terms are governed by the laws of Ontario and the laws of Canada applicable in Ontario.
Subject to applicable health-care, privacy, regulatory, and consumer-protection rights, disputes relating to these Terms or VNPS services will be addressed in Ontario.
